Corporate Governance

NEXEYA is particularly vigilant when it comes to maintaining a balance between management and supervision functions. Governance affects all aspects of company life. It aims to facilitate the development of the group, its ambition to become more innovative, international, and effective, to achieve better recognition, and to become more partnership-oriented.

To achieve this aim, governance combines efficient management of operations with an appropriate level of supervision. The Executive Committee meets once a month. It reviews the monthly financial statements and forecasts, as well as risks and opportunities. It ensures the daily management of the group via the management teams of its various constituent entities. It makes sure that the various action plans implemented within the group are progressing, and that internal control procedures are adequate and complied with.

The Executive Committee is composed of Philippe Gautier, Jean-Yves Rivière, Jérôme Giraud, Michael Della Fortuna, Wolfgang Rauscher, Pierre-Olivier Besombes, Bruno Wattecamps, Frédéric Houache, Nicolas Multan and Joëlle Cébron.

Philippe Gautier, 56 years old

Philippe holds an engineering degree from the Ecole Centrale Paris (class of 1985) and an MBA from Paris Dauphine University.

He started his career as a sales engineer at IBM France. In 1989, he joined MODCOMP France, integrator of industrial information systems, where he held various positions before being appointed CEO in April 1998. He joined NEXEYA in November 2000 after organising the merger between MODCOMP France and EURILOGIC Technologies.

Jean-Yves RIVIÈRE, 63 years old
Chairman of the Supervisory Board and Human Resources Manager

Jean-Yves holds an engineering degree from the Grenoble Institute of Technology (class of 1978).

Within Renault Automation, he managed the Software Design Department for five years before being appointed Head of the Applications Department. In 1989, he co-founded Humelec, an IT services company, where he first served as Director of Operations before being appointed Chairman in 1991. In 1998, he created EURILOGIC SA, which went on to become NEXEYA.

Jérôme GIRAUD, 54 years old
Chief Financial Officer - Chief Operating Officer

Jérôme holds an engineering degree from ESTP and from ESSEC in finance.

He started his career as auditor at ARTHUR ANDERSEN. He spent 15 years in various positions in the Financial Department at EADS and then at SFR. In 2008, he joined FULLSIX, a digital marketing group specialised in web technologies.  As the Group’s Director, his role involved taking care of acquisitions in France and Internationally.

In June 2014, he joined NEXEYA to take over as Chief Financial Officer. In 2017, he also becomes Chief Operating Officer.

Michaël DELLA FORTUNA, 47 years old

Professional Engineer, a graduate of the Royal Military College of Canada

He started his career as an Officer, working on maintaining and upgrading a variety of aircraft, from the CC-130 Hercules to the CF-18 Hornet. He then joined the National Defence Headquarters, working as an avionics technical authority, leading the Life Cycle Material Management department for the Canadian CF-18 Fleet.
Michael held positions in  various companies in the commercial world, acquiring a great deal of technical experience (testing, quality), as well as management experience (marketing & commercial departments). Finally, he was the Vice-President of Operations at MIRCOM LIFE SAFETY SYSTEMS, in charge of production, customer service, and services.

In March 2015, he was appointed Director of NEXEYA CANADA.

Wolfgang RAUSCHER, 50 years old
Director of TECHSAT

Graduate of Finance and Business Administration from the University of Bayreuth,

he started his professional career in 1996 in the management of a group controlling a large German bank. He then moved into the IT industry, working as the Director of Finance and Auditing for a medium-sized systems provider. In 2013, he joined TechSAT as the Commercial Director. Today, Wolfgang is the CEO of TechSAT.

Pierre-Olivier BESOMBES, 47 years old
Director of the Test and Integration Solutions Business Line

Professional Engineer, graduate of EFREI, and holds a Master’s in telecommunications engineering (Polytechnic University of Catalonia),

Pierre-Olivier began his career in 1995 as a research engineer at the French National Centre for Scientific Research (CNRS). He joined ROCKWELL COLLINS in 1997 as an Electronic Development Engineer and worked in a wide variety of roles (Project Manager, Product Line Manager, Director of Engineering in the Surveillance, Navigation, and Communication Department). In 2009, Pierre-Olivier started working at the ROCKWELL COLLINS headquarters in the United States as the Liaison Director working on International Programmes. He held this post until 2011, when he was made Director of the “Man-portable Satcom” Business Unit for the international market based in Sweden. Returning to France in 2014, Pierre-Olivier took over management of the “ComNav” Business Unit for the Europe, Middle-East, and Africa zones.

Backed by this vast experience, in January 2017, Pierre-Olivier became the Director of the Test and Integration Solutions Business Line.

Bruno WATTECAMPS, 60 years old
Director of the Mission Management Systems Business Line

Captain at sea (retired), certified in Telecommunications (1986), graduate of the École de Guerre (War College –1997) and a CHEAR auditor (2005),

he enjoyed a full career as an officer in the French Navy, was a commander of combat ships and embarked staff of forces in the Indian Ocean and also served in the central leadership staff for responsibilities in naval programmes and operational systems. Between 2008 and 2011 he was Director of Naval Information Systems. In 2011, he joined the NEXEYA Group in order to develop its defence activities.

Now Bruno is Director of the Mission Management Systems Business Line, which provides systems that are primarily for military use to our French and foreign clients.

Frédéric HOUACHE, 60 years old
Director of the Power Conversion Business Line

A graduate of SUP AERO with a concentration in Space Missiles and a Diploma of Advanced Studies in Mechanics from The University of Toulouse,

After getting his first experience at ONERA in the aerospace sector, he moved to the automotive industry at PSA.  He continued his career at VALEO where he took a position as the R&D and Project Director in the field of Air Conditioning and Liveable Safety. Then he became the Director of the High Power and Energy Conversion Line.

Since October 2016, he has been the Director of NEXEYA’s Power Conversion Business Line.

Nicolas MULTAN, 40 years old
Director of the Space Systems Business Line

A graduate of the University of Technology of Belfort Montbeliard,

He began his career in 2001 as a mechanical engineer in the design office of Toulouse-based company BTS Industrie. Promptly sent on assignment to ASTRIUM SAS, he participated in the development of next-generation lithium-Ion satellite batteries and the SiC technology for stable mirrors.

After these few years, he held various positions within BTS: project manager, head of the space sector and sales engineer. In 2010, he became Sales Director for NEXEYA’s space sector.

Now Nicolas is Director of NEXEYA’s Space Systems Business Line.

Joëlle CÉBRON, 59 years old
VP Mergers & Acquisitions

A graduate of the Paul Sabatier University in Toulouse (1980) in Finance and Business Administration

she began her career in 1980 as an information systems consultant supporting SMBs in their computerization. Then, thanks to her four years as head of ICT training at the Chamber of Commerce and Industry in Castres-Mazamet, she acquired significant technical experience in information technology and networks.

In 2000, she joined the STERIA Group as Key Account Manager (EDF, RTE, ERDF, GRDF) for the Systems Integration and Managed Services service lines, before being appointed Director of the Technology Services department in 2008.

In 2010, she joined ISIS-MPP (NEXEYA Group) as Sales Manager for the Aeronautic sector, and in 2014 was entrusted with the Sales Management of NEXEYA’s Energy Market.

After several years as Director of NEXEYA’s Customer Support Business Line, Joëlle is now VP Mergers and Acquisitions.

Our story

With a long history of serving major industrial programmes, NEXEYA is developing rapidly, and stepping up its transformation for its clients.

Created in 1997 under the name EURILOGIC, NEXEYA is a combination of organic growth and external acquisitions. Focusing on the Transport, Defence, Space, and Energy industries, NEXEYA has seen three phases of growth :

From 2007 to 2013

Initial public offering and completion of eight acquisitions including ISIS MPP and BTS Industries. These acquisitions brought technologies and critical expertise to NEXEYA, and fast-tracked its access to major industrial programmes.

Since 2013

Delisting from the stock exchange accompanied by financial partners, industrial integration of the company, acquisitions in Canada and Germany, creation of subsidiaries in Singapore and Morocco, transfer of two non-core business activities.

NEXEYA is continuing to develop and expand, focusing on three priorities:

  • Developing a portfolio of highly innovative technologies and related services
  • Accelerating the company’s internationalisation
  • Contributing to industry consolidation by acquiring innovative and international companies.

While remaining faithful to the company’s values of commitment and loyalty that it has adhered to since the beginning.
